MPC: VISTA (Virtual Interactive Simulation Training Academy)

1. Acceptance of These Terms
These Terms of Service (“Terms”) govern access to and use of MPC: VISTA (Virtual Interactive Simulation Training Academy), a web-based professional development platform owned and operated by dfusion Inc. (“MPC: VISTA,” “we,” “us,” or “our”). Note: “MPC: VISTA” refers to this platform and its operator, dfusion Inc., and is distinct from “Making Proud Choices,” a separate curriculum program. By creating an account, logging in, or otherwise using MPC: VISTA (the “Platform”), you (“User,” “you”) agree to be bound by these Terms. If you are accepting these Terms on behalf of a school, district, organization, or other entity, you represent that you have authority to bind that entity, and “you” refers to both you individually and that entity.
If you do not agree to these Terms, do not access or use the Platform.
2. What MPC: VISTA Is
MPC: VISTA is a professional development training platform for educators, facilitators, and other adult professionals. It is designed to build the skills of adult learners who deliver teen pregnancy prevention and HIV prevention programming.
2.1 Scope and Limitations
You acknowledge and agree that:
- MPC: VISTA is professional development for adult educators and facilitators. It is not a curriculum, program, or set of instructional materials for use directly with youth.
- MPC: VISTA addresses teen pregnancy prevention and HIV prevention. It is not comprehensive sex education, and completion of the Platform’s training does not certify or qualify a User to deliver comprehensive sex education.
- The Platform is a training tool, not a substitute for professional judgment, your employer’s policies, or applicable local, state, or federal law. You remain responsible for complying with your school or district’s policies and all applicable legal requirements when applying anything learned through the Platform.
- Completion of training on the Platform does not, by itself, constitute a professional license, certification, or legal qualification of any kind unless expressly stated otherwise in writing by MPC: VISTA.
3. Eligibility and Accounts
3.1 Who May Use the Platform
MPC: VISTA is intended for use by adult educators and other professionals acting in their professional capacity, and by school, district, or organizational administrators who manage access on behalf of their staff. The Platform is not directed to or intended for use by minors, and MPC: VISTA is not a youth-facing product.
3.2 Individual Accounts
If you register as an individual, you are responsible for the accuracy of the information you provide and for all activity that occurs under your account credentials.
3.3 Institutional Accounts
If a school, district, or organization (“Institution”) procures access to the Platform on behalf of its staff, the Institution’s designated administrator is responsible for managing user provisioning, and these Terms apply to each staff member who accesses the Platform under that Institution’s license, in addition to any separate written agreement between the Institution and MPC: VISTA. If there is a conflict between these Terms and a signed institutional agreement, the signed institutional agreement controls to the extent of the conflict.
3.4 Account Security
You must keep your login credentials confidential and notify MPC: VISTA promptly of any unauthorized use of your account. MPC: VISTA is not liable for any loss arising from your failure to safeguard your credentials.
4. Fees, Licensing, and Payment
Access to MPC: VISTA is provided on a paid or licensed basis, whether purchased individually or through an institutional license.
- Applicable fees, billing frequency, and payment terms will be set out at the time of purchase or in a separate order form or institutional agreement.
- Fees are non-refundable except as expressly stated at the time of purchase, in a separate agreement, or as required by law.
- MPC: VISTA may change its fees for future subscription terms or licenses; any change will not affect a license already paid for and in effect, and will be communicated before it takes effect for a renewal.
- Failure to pay applicable fees may result in suspension or termination of access.
5. License to Use the Platform
Subject to your compliance with these Terms and payment of applicable fees, MPC: VISTA grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your own professional development or, in the case of an Institution, for the professional development of its authorized staff.
You may not, and may not permit others to:
- Share your login credentials or allow account access by anyone other than the individual to whom the account was issued;
- Copy, reproduce, distribute, publicly display, or create derivative works from the Platform’s content outside the scope of the license granted;
- Reverse engineer, decompile, or attempt to extract the source code of the Platform;
- Use the Platform to build a competing product or service;
- Use the Platform in any way that violates applicable law or infringes the rights of others.
6. User Conduct
When using MPC: VISTA, you agree to:
- Provide accurate registration information and keep it up to date;
- Use the Platform only for its intended professional development purpose;
- Not upload or transmit any content that is unlawful, harassing, defamatory, or that infringes the intellectual property or privacy rights of others;
- Not attempt to interfere with, disrupt, or gain unauthorized access to the Platform, its servers, or other users’ accounts.
7. Data Collection and Privacy
In connection with your use of the Platform, MPC: VISTA collects and processes:
- Account and registration information, such as your name, email address, school or organization, and login credentials; and
- Usage and progress data, such as module completion status, quiz or assessment scores, time spent in training, and certificates or records of completion generated for professional development credit.
This information is used to operate the Platform, track and issue professional development credit or completion records, communicate with you about your account or training, and improve the Platform. Details on how MPC: VISTA collects, uses, stores, and shares this information are set out in the MPC: VISTA Privacy Policy, which is incorporated into these Terms by reference.
8. Intellectual Property
All content on MPC: VISTA, including training modules, simulations, videos, text, graphics, logos, and software, is owned by dfusion Inc. or its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted in Section 5, no rights are transferred to you.
Any completion certificates or records generated through the Platform may be used by you or your Institution solely to document your professional development for legitimate employment, licensure, or credentialing purposes.
9. Disclaimers
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
MPC: VISTA IS A PROFESSIONAL DEVELOPMENT TOOL FOR ADULT EDUCATORS. IT DOES NOT PROVIDE MEDICAL, LEGAL, OR CLINICAL ADVICE, IS NOT A YOUTH CURRICULUM, AND DOES NOT CONSTITUTE COMPREHENSIVE SEX EDUCATION. MPC: VISTA DOES NOT GUARANTEE ANY PARTICULAR OUTCOME FROM YOUR USE OF THE PLATFORM, INCLUDING ANY PARTICULAR RESULT IN YOUR CLASSROOM, SCHOOL, OR DISTRICT. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF INFORMATION FROM THE PLATFORM COMPLIES WITH YOUR EMPLOYER’S POLICIES AND APPLICABLE LAW.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, dfusion Inc. AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF DATA, REVENUE, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM. MPC: VISTA’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNT YOU OR YOUR INSTITUTION PAID FOR ACCESS TO THE PLATFORM IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
11. Term, Suspension, and Termination
These Terms remain in effect for as long as you use the Platform. MPC: VISTA may suspend or terminate your access, with or without notice, if you violate these Terms, if required by law, or if your (or your Institution’s) license or subscription ends or is not renewed. You may stop using the Platform and, where applicable, request account deletion at any time, subject to any minimum term in a separate institutional agreement.
12. Changes to These Terms
MPC: VISTA may update these Terms from time to time. If we make material changes, we will provide notice (for example, by email or an in-Platform notice) before the changes take effect. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
13. Governing Law
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws principles.
